Participant Waiver, Assumption of Risk, and Release

MovingSteady | Version 1.0 | Effective October 3rd 2026

1. Purpose and Consideration

This Participant Waiver, Assumption of Risk, and Release (“Agreement”) is given in consideration of being permitted to participate in exercise, movement, mobility, balance, flexibility, light conditioning, and related wellness activities made available through MovingSteady (“the Service”). I acknowledge that my participation in the Service is valuable consideration and that MovingSteady would not permit my participation without my acceptance of this Agreement.

This Agreement applies to all MovingSteady activities, including prerecorded video content, suggested weekly exercise selections, educational materials, and any optional equipment provided by MovingSteady.

2. Nature of the Service

I understand that MovingSteady is a general wellness and exercise service. It is not medical care, physical therapy, occupational therapy, rehabilitation, diagnosis, treatment, or emergency care.

MovingSteady does not perform an in-person or individualized clinical evaluation before I participate. Any information I provide about my abilities, preferences, use of a chair or other support, or exercises I do not wish to perform is used solely to organize general exercise content and is not a medical assessment, screening, or diagnosis.

Exercises or exercise libraries may be reviewed by a licensed physical therapist for general safety and appropriateness for an older-adult population. I understand that such general review does not create a therapist-patient relationship between me and the reviewing physical therapist and does not mean that any particular exercise is medically appropriate for me.

3. Health and Medical Responsibility

I am solely responsible for deciding whether I am physically able to participate. If I have any question about whether exercise is appropriate for me, I will consult a physician, physical therapist, or other qualified healthcare professional before participating.

I understand that I should seek medical guidance before beginning or continuing an exercise program if I have any of the following or another condition that could affect safe participation:

- A diagnosed medical condition - Recent surgery or hospitalization - A recent fall - Significant balance problems - Unexplained pain - Dizziness or fainting - Chest pain - Shortness of breath outside of normal exertion - Cardiovascular concerns

I understand that MovingSteady is not able to monitor me in real time. I am responsible for exercising within my own abilities and for stopping an activity if I experience pain, dizziness, weakness, shortness of breath beyond normal exertion, loss of balance, or other concerning symptoms.

4. Voluntary Participation and Safety Practices

My participation is voluntary. I agree to use reasonable care when participating, including:

- Using a stable chair, wall, counter, or other support when the exercise calls for support - Using only equipment that is in good condition and appropriate for the exercise - Keeping the exercise area reasonably clear of rugs, cords, pets, furniture, liquids, and other tripping or slipping hazards - Wearing appropriate footwear or otherwise using a safe, non-slip surface - Moving at a pace that is comfortable and avoiding forcing a movement or range of motion - Stopping immediately if I feel unsafe or develop concerning symptoms - Seeking emergency medical care when circumstances warrant it

MovingSteady is not an emergency service.

5. Assumption of Risk

I understand that exercise and physical activity involve inherent risks, particularly for older adults and individuals with health conditions or mobility limitations. These risks include, among other things:

- Muscle soreness, strains, sprains - Aggravation of a pre-existing condition - Loss of balance - Falls - Fractures - Cardiovascular events - Other injury, illness, disability - In rare circumstances, death

I acknowledge that there may be risks not known to me or not readily foreseeable. I knowingly and voluntarily accept all such risks, both known and unknown, associated with participating in MovingSteady activities to the fullest extent permitted by applicable law.

6. Release and Waiver of Claims

To the fullest extent permitted by applicable law, I release, waive, and discharge MovingSteady and its owners, officers, employees, independent contractors, content reviewers, service providers, and agents (“Released Parties”) from any and all claims, demands, losses, damages, or liability arising from or related to my voluntary participation in MovingSteady activities.

This release includes claims arising from the ordinary negligence of the Released Parties. It does not include claims for gross negligence, recklessness, willful misconduct, or any other conduct that cannot legally be released in advance under applicable law.

This provision is not intended to release any claim that applicable law prohibits a participant from waiving. If any portion of this release is held unenforceable, the remaining provisions shall continue in full force and effect.

7. No Guarantee of Results

I understand that MovingSteady does not guarantee any particular health, mobility, balance, strength, pain, rehabilitation, or functional outcome. Individual results vary, and the service is not intended to promise prevention of falls, injury, disease, or loss of function.

8. Participant and Account Owner May Be Different People

I understand that the person who purchases or manages a MovingSteady account may be different from the person who performs the exercises.

Critical Notice: A family member, caregiver, or other account owner cannot make medical decisions for a participant, cannot waive a participant’s legal rights, and cannot accept this Agreement on behalf of a participant unless that person has lawful authority to do so (such as a valid power of attorney, guardianship, or healthcare proxy that specifically authorizes such action).

Each adult who participates in MovingSteady must review and accept this Agreement before beginning the exercise program. Acceptance by an account owner who is not the participant does not waive the participant’s rights.

9. Acknowledgment

By accepting this Agreement, I confirm that:

- I have had a sufficient opportunity to read this Agreement - I understand that participation involves physical activity and risk - I understand that MovingSteady is not medical care or physical therapy - I understand the release and waiver provisions contained in this Agreement - I voluntarily choose to participate subject to these terms - I am at least 18 years of age

10. Electronic Acceptance

I understand that my electronic acceptance of this Agreement may be recorded and treated as my signature to the extent permitted by applicable law. MovingSteady may retain a record of this acceptance, including the date, time, document version, and the action I took to indicate assent.

11. Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the State of Minnesota, without regard to its conflict-of-law principles.

12. Severability

If any provision of this Agreement is found unenforceable, the remaining provisions shall continue in full force and effect to the extent permitted by law.
